In short

For tangible immovable property worth Rs100 or more, section 54 says the sale "can be made only by a registered instrument". That instrument is the sale deed. Under section 49 of the Registration Act, 1908, a document that must be registered does not transfer any right in the property "unless it has been registered". An agreement to sell (iqrarnama) is not a sale. Section 54 says it "does not, of itself, create any interest in or charge on such property". In Punjab, for land in the revenue record, the record is updated by a separate step, the mutation (intiqal).

A sale deed is the document that transfers ownership of property from a seller to a buyer. Section 54 of the Transfer of Property Act, 1882 says a sale of tangible immovable property worth Rs100 or more can be made only by a registered instrument, and under the Registration Act, 1908 such a deed transfers nothing until it is registered. That registered deed is what most people call the registry or bainama. Below: what the law says, and how a deed differs from an agreement to sell, a mutation and a society transfer letter.

What a sale deed is, in the law's words

The text below is from Pakistan Code, the Ministry of Law and Justice's official site (read on 3 November 2026).

The definition. "'Sale' is a transfer of ownership in exchange for a price paid or promised or part-paid and part-promised."

How a sale is made. "Such transfer, in the case of tangible immoveable property of the value of one hundred rupees and upwards, or in the case of a reversion or other intangible thing, can be made only by a registered instrument."

Below Rs100, the transfer "may be made either by a registered instrument or by delivery of the property". Few properties are worth less.

Where it applies. The Act applies only where it has been extended. Pakistan Code's notes record extensions that include Sindh, Punjab's municipalities and notified areas (sections 54, 107 and 123), cantonments (section 54's second and third paragraphs), non-agricultural land in the former Baluchistan States Union, and the Act as in force in the former North-West Frontier Province, applied in 1974 to its provincially administered tribal areas. The Registration Act, below, reaches further.

Why registration matters

The Registration Act, 1908 extends to "the whole of Pakistan", except districts a provincial government excludes (section 1).

Section 17(1)(b) makes registration compulsory for non-testamentary instruments that "purport or operate to create, declare, assign, limit or extinguish, whether in present or in future, any right, title or interest, whether vested or contingent, of the value of one hundred rupees and upwards, to or in immoveable property". A sale deed is such an instrument.

Section 49 sets the effect. No document required to be registered shall "operate to create, declare, assign, limit or extinguish, whether in present or in future, any right, title or interest, whether vested or contingent, to or in immoveable property", "unless it has been registered."

So an unregistered sale deed does not pass ownership, however much was paid. The Sindh Judicial Academy's text of the Act for Sindh (amendments up to 2024) has the same words in both sections; we found no official consolidated text for the other provinces.

A deed about land is presented to the sub-registrar for the area where the property lies (section 28). For how that works in your province, read property registration in Punjab or the Sindh property transfer and registry guide.

Sale deed vs agreement to sell (iqrarnama)

An agreement to sell, often signed when a token (bayana) is paid, is a different document. Section 54's last paragraph covers it:

"A contract for the sale of immoveable property is a contract that a sale of such property shall take place on terms settled between the parties. It does not, of itself, create any interest in or charge on such property."

A change to watch. Pakistan Code's text of the Registration Act now includes clause (ba) in section 17(1), inserted by the Registration (Amendment) Act, 2022. It adds "an instrument which grants power to an attorney or which constitutes an agreement to create, declare, assign, limit or extinguish, by way of sale, any right, title or interest" worth Rs100 or more in immovable property. The Sindh consolidated text does not contain this clause. We could not confirm where the 2022 clause applies, so before signing an agreement to sell or a power of attorney for a sale, ask the sub-registrar whether it has to be registered.

Sale deed vs mutation (intiqal)

The sale deed transfers ownership between the parties. The mutation, or intiqal, is the entry that changes the owner's name in the land record. In Punjab, section 42 of the Punjab Land Revenue Act, 1967 says a person acquiring "by inheritance, purchase, mortgage, gift, or otherwise, any right in an estate as a land-owner" shall, "within three months from the date of such acquisition, report his acquisition of right to the Patwari of the estate". Section 42-A says that from the date the Board of Revenue notifies for an estate's computerised record, the report goes instead to the Arazi Record Centre, within the same three months (find your centre). So the deed alone does not change the record. Our property dictionary explains intiqal; once the mutation is sanctioned, check the online fard shows the buyer.

Sale deed vs a society allotment or transfer letter

A housing society or development authority issues allotment and transfer letters from its own records. That is not a deed registered before a sub-registrar under the Registration Act. Whether a sale in a scheme also needs a registered deed depends on the scheme and the land: ask the society and the sub-registrar, and use Check before you pay to look up a society before paying.

What a sale deed records

We give no sample deed: a deed writer, lawyer or sub-registrar should draft or check yours. A sale deed typically sets out:

  • The parties: seller and buyer, with names, parentage, addresses and CNIC numbers, and any attorney.
  • The property: section 21 of the Registration Act says a deed is not accepted for registration "unless it contains a description of such property sufficient to identify the same": location, boundaries, area, and the land record or plot references.
  • The price: the amount, and how and when it was paid.
  • The seller's title: the earlier deed or mutation by which the seller owns it.
  • Stamp duty: the stamp paper or e-stamp on which the deed is written, showing the duty paid.

Check each name, number and boundary against the fard or society record before signing.

Sale deed meaning in Urdu

People use several words for these documents:

  • Bainama (بیع نامہ): Rekhta's dictionary gives "sale agreement, sale-deed, certificate of sale", so check whether the paper is a registered deed or only an agreement.
  • Registry (رجسٹری): the registered sale deed.
  • Iqrarnama: an agreement, the usual word for an agreement to sell.
  • Intiqal (انتقال): the mutation in the land record.

Frequently asked questions

What is a sale deed?

The document that transfers ownership of property from seller to buyer for a price. Where section 54 of the Transfer of Property Act, 1882 applies, a sale of tangible immovable property worth Rs100 or more can be made only by a registered instrument, and under section 49 of the Registration Act a deed that must be registered transfers nothing until it is.

What is sale deed meaning in Urdu?

Bainama (بیع نامہ) or, once registered, registry. Bainama can also mean an agreement to sell, so ask which one you are signing.

What is section 54 of the Transfer of Property Act?

The section that defines a sale, requires a registered instrument for a sale of tangible immovable property worth Rs100 or more, and says an agreement to sell creates no interest in the property. Its words are quoted above.

Is an agreement to sell (iqrarnama) the same as a sale deed?

No. Under section 54 it only promises that a sale will take place. The registered sale deed transfers ownership.

Is there a standard sale deed format?

We do not publish one. See the list of parts above, and ask the sub-registrar's office or a lawyer to draft or check yours.

Is a registry the same as an intiqal?

No. The registry is the registered sale deed. The intiqal (mutation) changes the owner's name in the land record. In Punjab, a buyer of land in the revenue record must report the purchase within three months, to the patwari or, once the computerised record has started for that area, to the Arazi Record Centre.
